Residence Club Benefits

Certain terms and phrases in these Reservations Policies and Procedures and the Ownership Documents have been defined to clarify their intended meaning and usage. These terms and phrases can be identified because they begin with a capital letter.


"Accompanied Guests" - Any individual or individuals in residence at a Residence when accompanied by an Owner.

"Arrival Day" - Each Saturday or the Sunday, Monday, Tuesday, Wednesday, Thursday, or Friday immediately following for Primary and Planned Vacation Periods.

"Association" - The organization representing the Owners as described in the Ownership Documents.

"Board of Directors" or "Board" - The governing body of the Association who manages the business affairs of Red Frog Beach's Private Residence Club Association.

"Departure Day" - Any day prior to or on the Saturday following the Arrival Day.

"Designated Owner" - Each Ownership owned by a corporation, trust, partnership, company or LLC must identify one individual as the Designated Owner. Such Designated Owner shall have Residence use privileges as described in the Reservations Policies and Procedures. Such Designated Owner has the exclusive right to submit Reservation Requests for Planned Vacations and on behalf of the Ownership. The Designated Owner status may be changed once per year prior to the Reservation Period at the election of the Owner.

"Housekeeping Fees" - Housekeeping fees or other such mandatory charges established by the Board of Directors.

"Maintenance Periods" - The Board will establish dates each Owner Year to allow for performance of maintenance of Residences and Residences common areas.

"Manager" - The entity together with its successors and assigns, engaged from time to time by the Association to undertake the duties, responsibilities, and obligations of operating and managing the Residences, pursuant to the then effective Management Agreement.

"Optional Services Fees" - Fee based services provided at the election of the Owner or the Permitted User while in residence at the Residences.

"Owner Year" - The Owner Year runs from the Saturday nearest January 1st of each year to the Saturday nearest December 31st of the following year.

"Owners" - Those who hold title to a Residence with the right to use subject to the Ownership Documents.

"Ownership" - Provides use privileges in the Residences subject to the Reservation Policies and Procedures. The Owner or Designated Owner, their spouse and dependent children under the age of twenty-five (25) shall be entitled to ownership benefits subject to the Ownership Documents.

"Ownership Documents" - The Declaration, the Articles of Incorporation, the Bylaws, the Rules and Regulations and the Reservations Policies and Procedures of the Association as each may lawfully be amended and/or supplemented from time to time.

"Permitted Users" - Accompanied Guests, Unaccompanied Guests, tenants, licensees and invitees.

"Planned Vacation Weeks" - Those weeks during which an Owner can use a Residence or can send Unaccompanied Guests to use a Residence at no additional charge, except for the published Housekeeping Fees and Optional Services Fees. Owners are guaranteed three (3) weeks Planned Vacation days per Owner Year. A Planned Vacation Week must be seven (7) consecutive nights subject to the Arrival Day and Departure Day requirements.

"Primary Vacation Weeks" - Those weeks during which Owners have the exclusive right to use a Residence.

"Rental of Vacation Weeks" - Owners may rent any of their Primary Vacation Periods and any of their confirmed Planned Vacation Periods.

"Reservations Office" - The location, either on-site or elsewhere, where Owners' Reservations Requests are processed.

"Reservation Period" - The Planned Vacation Reservation Period is the thirty (30) day period from August 1st to August 31st of each year in which the Owners can submit Reservation Requests for Planned Vacation Weeks for the upcoming Owner Year. In the event a Owner wishes to cancel a confirmed Planned Vacation Week, that request for cancellation must be received by the Manager, in writing, at least fourteen (14) days prior to the scheduled arrival, in order for the Owner to retain the usage rights associated with the cancelled Planned Vacation Week. If the notice of cancellation is not received in writing at least fourteen (14) days prior to the scheduled Arrival Day, the Manager will deduct that week in the Planned Vacation Week from the Owner's annual allocation of Planned Vacation Weeks. Owners have the right to re-book any Planned Vacation Weeks which are cancelled in a timely manner and any rebooking is subject to availability.

"Reservation Priority Number" - The Reservation Priority Number is assigned to each Owner prior to confirmation of the Planned Vacation Weeks. This number is used by the Reservations Office to allocate Planned Vacation Week requests when demand exceeds lodging availability. This Reservation Priority Number rotates each Owner Year, based on the original Owner's number assigned at closing and is included on the Owner's Purchaser Contract to equitably allocate Planned Vacation Weeks.

"Reservation Request" - Written request from Owner to Reservations Office, subject to Reservations Policies and Procedures guidelines.

"Residence" - The residences committed to the Private Residence Club at Red Frog Beach made available for overnight occupancy by Owners and their Permitted Users.

"Sleeping Capacity" - Sleeping Capacity of a Residence is calculated by multiplying the number of bedrooms in the Residence by two (2) plus two (2) additional for any sleeper sofas or day beds.

"Sponsoring Owner" - The Owner who invites an Unaccompanied Guest to use the Residences.

"Unaccompanied Guests" - Any non Residence Owner who uses the Residences without being accompanied by an Owner during Primary and Planned Vacation Weeks. A Sponsoring Owner requesting lodging for an Unaccompanied Guest must provide the Reservations Office with the Unaccompanied Guest's name, address, telephone number and email address in writing at least twenty-one (21) days prior to arrival so that the Reservations Office can send a confirmation notice to that Unaccompanied Guest. Unaccompanied Guests are required to pay Housekeeping Fees and Optional Services Fees upon checkout unless payment has been arranged, in advance, by the Sponsoring Owner. The Sponsoring Owner is responsible for any outstanding charges made by their Unaccompanied Guests and/or damages to the Residences caused by their Unaccompanied Guests. The Sponsoring Owner is required to ensure that their Unaccompanied Guests follow all rules and regulations in the Ownership Documents. Sponsoring Owners are subject to sanctions if Unaccompanied Guests do not follow all of the rules and regulations in the Ownership Documents.

"Vacation Weeks" - Primary Vacation Weeks and Planned Vacation Weeks.
